Terms and Conditions of Sale

Unless otherwise agreed, Festo's delivery and payment terms apply as follows:

By exclusion of any other possible terms, all sales/deliveries by Festo, unless explicitly otherwise agreed in writing, are subject to the General Conditions NL17/NLT17.

Festo Estonia uses NL 17/ NLT 17

With the additions specified below, the General Delivery Regulations NL 17 / NLT 17 adopted by the technology companies apply.

NL 17 for deliveries

of machines and other mechanical, electrical, electronic equipment.

NLT 17 regarding less extensive assembly

of machines and other mechanical, electrical, electronic equipment.

Export Control Clause

1. Any deliveries of products (hardware and/or software and/or technology and the respective documents, irrespective of the manner in which they are made available) as well as work and services including technical support of all kinds by Festo to the [customer] (collectively called “Festo Performance”) shall be subject to the precondition that such Festo Performance is not prohibited according to national or international export control regulations, in particular embargos or other sanctions. The [customer] undertakes to provide all information and documentation which is required for export and shipment. Delays due to export examinations or approval procedures render deadlines and delivery dates inapplicable. If necessary approvals are not granted or if the delivery and service are not capable of being approved, the [contract] shall be considered not concluded with respect to the parts affected.

2. Festo shall be entitled to terminate any contract regarding Festo Performance without notice if such termination is necessary for [Festo] in order to comply with national or international legal provisions.

3. In the event of termination pursuant to section 2, the [customer] is excluded from raising a claim for any damage or other rights on account of the termination.

4. When passing on any of the Festo Performance to third parties in Germany and abroad, the [customer] must comply with the respectively applicable provisions of national and international (re-) export control law.

In particular the [customer] shall not sell, export or re-export, directly or indirectly, to the Russian Federation or for use in the Russian Federation any of the Festo Performance that fall under the scope of the Council Regulation (EU) No 833/2014. Any violation of this section 4 by [customer] shall constitute a material breach of an essential element of this [contract] and [Festo] shall be entitled to seek appropriate remedies. In addition, section 2 and 3 shall apply respectively. The [customer] shall immediately inform [Festo] about any problems in applying this section 4 including any relevant activities by third parties that could frustrate the purpose of section 4. The [customer] shall make available to [Festo] information concerning compliance with the obligations under section 4 immediately upon request by [Festo].

Delivery information

Festo will use reasonable efforts to meet any stated delivery date, but Festo does not guarantee a specific delivery date and any dates quoted in an order confirmation or otherwise are approximate only. Customer will have no right to liquidated, or other, damages or to cancel any order for Festos failure for any reason to meet any delivery time stated.

Complaints and return conditions

Technical or logistic complaint

The right to complain about products is 12 months from the invoice date, unless otherwise agreed in writing.
To create a complaint, we refer to www.festo.ee under "MyFesto/Customer support" where a complaint case can be created. If you do not have an online user, please create one.Alternatively, contact Festo via telephone: +372 666 1560 or email: info.ee@festo.com for assistance. Festo sends an address label if the product in question is to be sent for analysis.
For complaints regarding missing or incorrect component in relation to the order and/or delivery note, this must be reported to Festo as soon as possible, but no later than 30 days after receipt of goods.

Return regulations

Return of products must be agreed in advance with Festo, please contact our Customer Contact Center via telephone: +372 666 1560 or email: info.ee@festo.com.
Requests for the return of components by the buyer can only be made in agreement and in accordance with criteria below:

• The value of the component is at least EUR 200 per product line excl. VAT. and in original packaging.

• For unused goods in original packaging, a crediting fee of 25% is deducted.

• Invoice date is max. 6 months from return date.

• Configurable and otherwise custom-made products and used or damaged products cannot be returned.

If the return is due to an error caused by Festo, we will as soon as possible deliver a new item against invoice. The returned item is credited after receipt by Festo. Festo can be contacted for a return label without additional shipping costs.
Products simply returned to Festo without previous agreement will not be processed.
